International Paper sells Global Cellulose Fibers division to American Industrial Partners

$1.5 billion transaction turns GCF into an independent company, strengthening global presence in fluff pulp for personal care

International Paper has completed the sale of its Global Cellulose Fibers (GCF) division to American Industrial Partners (AIP) for $1.5 billion, subject to closing adjustments and regulatory approvals. The transaction is expected to close in Q4 2025.

GCF is a global leader in the production of high-quality fluff pulp used in infant diapers, incontinence products, feminine care, and other personal care applications, as well as specialty pulp for construction materials, paints, and coatings. The operation includes nine manufacturing facilities and eight regional offices across the U.S., Canada, and Poland, employing approximately 3,300 people and generating $2.8 billion in revenue in 2024.

Rick Hoffman, Partner at AIP, stated that GCF is well-positioned for future growth, supported by “its large and sustainable wood basket, durable end markets, industry leading quality and innovation, long-term customer relationships, deeply knowledgeable employees, and well-invested facilities”.

Clay Ellis, Senior Vice President of GCF, added that “with decades of highly relevant industrial and manufacturing experience, AIP is the right partner to back our growth and success as an independent company”.
