Essity Sweden approves results and dividend at its Annual General Meeting

The company set a SEK 8.75 dividend per share, approved 2025 financial statements, and confirmed board, remuneration, and share repurchase decisions

Essity held its Annual General Meeting in Stockholm, Sweden, where it approved the parent company’s income statement and balance sheet, as well as the consolidated financial statements for the 2025 fiscal year.

During the meeting, a dividend of SEK 8.75 per share was approved for the 2025 financial year. The record date for the dividend was set for Monday, March 30, 2026.

The AGM also determined that remuneration for each board member elected by the AGM who is not employed by the company will amount to SEK 1,000,000, while the Chairman of the Board will receive SEK 3,000,000. Members of the Remuneration Committee will receive an additional SEK 155,000 each, and the Chair SEK 180,000. Members of the Audit Committee will receive an additional SEK 365,000 each, while the Chair will receive SEK 520,000. Auditor fees will be paid according to approved invoices.

The AGM approved, in line with the Board of Directors’ proposal, a cash-based incentive program and also approved the Board’s remuneration report. The Board of Directors and the CEO were discharged from liability for the 2025 financial year.

Board members Maria Carell, Annemarie Gardshol, Jan Gurander, Alexander Lacik, Torbjörn Lööf, Katarina Martinson, Bert Nordberg, Barbara M. Thoralfsson and Karl Åberg were re-elected. Jan Gurander was re-elected as Chairman of the Board. Ernst & Young AB was appointed as auditor until the Annual General Meeting in 2027.

The AGM also resolved to reduce the company’s share capital through the cancellation of 11,109,318 Class B shares held by the company, corresponding to approximately 1.6% of the total number of issued shares, and through a bonus issue.

Finally, the AGM authorized the Board of Directors to decide on the repurchase of Essity B shares and the transfer of repurchased shares.
