Kimberly-Clark prepares US$1.9 billion reorganization through synergies following Kenvue acquisition

The company plans to integrate operations, systems and functions across both businesses and expects to generate US$1.9 billion in cost synergies during the first three years following the transaction’s completion

Kimberly-Clark, based in the United States, is preparing to reorganize its operations as it moves toward the acquisition of Kenvue, a transaction that will involve integrating structures, systems and processes across both companies. The objective is to simplify the operating model and capture cost synergies estimated at approximately US$1.9 billion over the first three years following the closing.

Announced in 2025, the transaction is intended to combine Kimberly-Clark and Kenvue’s businesses and expand the company’s presence across personal care, health and wellness categories. The deal remains expected to close in the second half of 2026, subject to the satisfaction of outstanding closing conditions.

OPERATIONS INTEGRATION

The reorganization will involve the integration of several functions across the two companies, including technology, procurement, manufacturing, distribution and commercial operations. Kimberly-Clark aims to reduce duplication and apply its operating model across the combined organization.

The company expects approximately 40% of the cost synergies to be achieved during the first year after closing, another 40% during the second year and the remaining 20% during the third year.

In addition to cost synergies, Kimberly-Clark expects approximately US$500 million in revenue synergies, although part of these benefits will be offset by reinvestments intended to support business growth.

The integration will also require investments and expenses related to combining the two organizations. Kimberly-Clark has estimated approximately US$2.5 billion in cash costs, primarily during the first two years following the transaction’s completion.

 

TECHNOLOGY AND PRODUCTIVITY

The transformation is taking place alongside digitalization and automation initiatives already being implemented across Kimberly-Clark’s operations.

These initiatives include the adoption of artificial intelligence-based tools for procurement and manufacturing processes, as well as training programs focused on capabilities such as artificial intelligence, agile methodologies and data analytics.

The initiatives are part of a broader strategy aimed at improving productivity and simplifying internal processes as the company prepares to operate on a larger scale.

A NEW HEALTH AND WELLNESS PLATFORM

The addition of Kenvue will expand Kimberly-Clark’s portfolio into health and wellness categories. The transaction will add Kenvue brands to Kimberly-Clark’s existing personal care and tissue portfolio.

The combined business will cover categories including baby care, family care, feminine care, adult care, skin care, over-the-counter medicines and oral health.

The acquisition represents a significant change in Kimberly-Clark’s business mix as the company seeks to increase its exposure to growth categories and diversify its portfolio beyond its traditional operations.

PORTFOLIO REORGANIZATION

The Kenvue integration follows other steps taken by Kimberly-Clark to reshape its portfolio.

Among them is the creation of Arbex, the independent company formed with Suzano from Kimberly-Clark’s former International Family Care and Professional (IFP) operations. The transaction allowed Kimberly-Clark to focus more closely on businesses considered strategic to its future growth.

At the same time, the company continues to pursue its transformation strategy, focused on productivity improvements, cost optimization and the allocation of resources toward higher-growth opportunities.

EXPECTATIONS FOLLOWING CLOSING

Kimberly-Clark expects the Kenvue acquisition to contribute positively to adjusted earnings per share beginning in the second year following closing. The company also expects cost and revenue synergies to progressively contribute to the financial performance of the combined organization.

The integration will mark a new stage for Kimberly-Clark, creating a broader portfolio across personal care, health and wellness while the company works to consolidate operations and simplify its corporate structure.
