Suzano receives regulatory approval and advances joint venture with Kimberly-Clark

The operation involves 22 factories across 14 countries and maintains a projected closing in the third quarter of 2026

Last Thursday, the 28th, Suzano informed the market that it has obtained all necessary regulatory approvals to proceed with the joint venture signed with Kimberly-Clark in the global tissue market.

However, the completion of the transaction is still subject to the finalization of the corporate restructuring being carried out by Kimberly-Clark in the countries covered by the agreement, including markets in South America, Central America, Europe, Africa, the Middle East, Asia, and Oceania. The company maintains its expectation that the deal will close in the third quarter of 2026.

The new company will be headquartered in the Netherlands and will concentrate international assets related to the manufacturing, marketing, distribution, and commercialization of tissue products across different regions. The portfolio includes categories such as toilet paper, paper towels, napkins, and facial tissues, as well as family care and professional business lines.

Under the defined structure, Suzano will hold 51% of the new company’s capital, taking control of the operation, while Kimberly-Clark will retain the remaining 49%.

Announced in 2025, the transaction is part of Suzano’s strategic move to expand its international presence and diversify beyond pulp, advancing into finished tissue products.

The joint venture involves 22 industrial units distributed across 14 countries, with an estimated production capacity of around 1 million tons per year. Kimberly-Clark will continue operating its consumer and institutional businesses in North America, maintaining assets and partnerships outside the scope of the transaction.
